LICENCE TO OCCUPY

THIS LICENCE TO OCCUPY DOES NOT CREATE A TENANCY AND CONFERS NO SECURITY OF TENURE

 

This Licence is made between:

(1) Number 14 Woodstock Ltd, a company registered in England (registration number 13123003) whose registered office is at 12 Market Place, Woodstock, Oxfordshire, OX20 1TA (the “Licensor”); and

(2) The individual or company whose name and address were submitted during the online booking process (the “Licensee”).

 

The Licensor permits the Licensee to occupy the Premises strictly on the terms set out in this Licence.

 

1. DEFINITIONS AND INTERPRETATION

In this Licence, unless the context requires otherwise:

​Deposit: An upfront payment of 30% of the Licence Fee.

Electricity Charge: £0.35 per kWh for electricity consumed.

Glasswasher: The commercial glasswasher available at Number 1 which is for use subject to payment of a fee to cover consumables. 

Licence Fee: The total payment amount specified at the time of booking.

Licence Period: The period from the start date to the end date specified in the online booking.

Number 1: Number 1, Market Place, Woodstock, Oxfordshire, OX20 1SY.

Number 14: Number 14, Market Place, Woodstock, Oxfordshire, OX20 1TA.

Permitted Hours: For Number 14, 08:00 to 18:00 GMT; For Number 1, access to the Premises is permitted from 08:00 to 22:00 GMT. The sale or supply of alcohol is not permitted before 10:00 or after 22:00 GMT

Permitted Use: For Number 14, use as a retail shop for the types of goods specified in the booking, excluding all food and alcohol, and any goods prohibited by law; For Number 1, use as a retail shop for the sale of the types of goods specified in the online booking, which may include food and alcohol, but excluding the sale of all hot food and any goods prohibited by law.

Popup Manager: An individual aged at least 25 appointed by the Licensee who must be physically present at all times during opening hours. This applies to Number 1 only and relates only to the sale of alcohol.

Premises: For Number 14, the ground-floor retail space, the basement storage area, and the basement lavatory as shown on the floorplans; For Number 1, the retail space, washup area, the lavatory, and the basement storage area as shown on the floorplans.

Premises Licence: The premises licence issued under the Licensing Act 2003 in respect of the Premises at Number 1, including all conditions and any amendments or variations. This applies to Number 1 only.

Services: For Number 14, electricity, cold water to the basement handbasin, and a functioning basement lavatory, all subject to a fair-usage policy; For Number 1, electricity, water to the ground-floor wash-up facilities and lavatory, subject to fair usage; and commercial bins for recycling and general waste, subject to fair usage and correct presentation for collection.

 

2. GRANT OF LICENCE

2.1 The Licensor permits the Licensee to use the Premises for the Licence Period for the Permitted Use during the Permitted Hours.
2.2 This Licence does not grant exclusive possession.
2.3 The Licensor may enter the Premises at any reasonable time, or immediately in an emergency.
2.4 This Licence creates a personal right of occupation only, not a lease or tenancy.

 

3. PAYMENTS

3.1 The Deposit is payable at the time of booking and is non-refundable.
3.2 Payment of the Deposit constitutes full acceptance of all terms of this Licence.
3.3 The balance of the Licence Fee must be paid no later than 60 days before the start of the Licence Period, or immediately if the Licence Period begins within 60 days.
3.4 Access to the Premises will not be granted until the Licence Fee is paid in full.
3.5 No refund of the Licence Fee will be made once the Licence Period has begun.
3.6 The Licensee shall take electricity meter readings with photographic evidence at the start and end of the Licence Period and email them to info@woodstockpopup.com.
3.7 The Licensee shall pay the Electricity Charge for all electricity consumed during the Licence Period.
3.8 All Electricity Charge invoices must be paid by credit card within 7 days of receipt.

 

4. LICENSEE’S OBLIGATIONS

4.1 Comply with all information provided in the Guest Guide in the section titled “Lockbox Access & Guide”.
4.2 Keep the Premises clean, tidy and hygienic, and make good any damage caused.
4.3 Use the Services only for their intended purpose and subject to fair usage.
4.4 Indemnify the Licensor against all loss or damage arising from the Licensee’s use of the Premises.
4.5 Indemnify the Licensor against all charges, duties, assessments or outgoings arising from the Licensee’s use.
4.6 Forward to the Licensor without delay any notices or correspondence related to the Premises or the Licensor’s interest.
4.7 Allow the Licensor access at any reasonable time for inspection.

4.8 Customers are not permitted to enter the basement at any time. The basement is for storage and staff use only. This restriction includes access to the basement lavatory at Number 14.

4.9 Remove all waste off-site daily.

4.10 For Number 1, comply with the Premises Licence at all times.
4.11 For Number 1, ensure all persons selling or supplying alcohol are properly trained, authorised and supervised.
4.12 For Number 1, appoint a Popup Manager aged at least 25 who must be physically present at all times during opening hours.

 

5. PROHIBITED ACTIONS

The Licensee shall not:

5.1 Use the Premises for any purpose other than the Permitted Use.
5.2 Cook or heat any hot food on the Premises, including by microwave or other heating appliance.

5.3 Sell any food or alcohol at Number 14.
5.4 Share occupation without prior written consent from the Licensor, and in no event to sub-license or allow third-party use of the Premises.
5.5 Make any alterations to the Premises including painting, drilling, attaching items, or moving external planters or fixtures.
5.6 Remove, alter or interfere with any signage, branding or stickers installed by the Licensor.
5.7 Install any signage or branding without prior written consent from the Licensor.
5.8 Use naked flames of any kind.
5.9 Smoke or vape inside the Premises or permit others to do so.
5.10 Bring animals into the Premises except assistance dogs.
5.11 Use the Premises for any unlawful, hazardous, unsafe, inappropriate or immoral purpose.
5.12 Cause nuisance, disturbance, hazard, excessive noise, obstruction, or annoyance.

5.13 For Number 1, breach any condition of the Premises Licence.

 

6. INSURANCE

6.1 The Licensee shall maintain public liability insurance of not less than £2,000,000 per claim.
6.2 The Licensee shall also insure all stock, goods, equipment, money and personal property brought onto the Premises.
6.3 The Licensee’s insurers must waive rights of subrogation against the Licensor.
6.4 Evidence of insurance must be provided on request.
6.5 The Licensor provides building insurance only and does not insure the Licensee’s property or activities.

6.6 The Licensor does not recommend insurers. However, the Licensee may, if they choose, obtain event insurance from a specialist insurer such as Protectivity or any similar provider. If doing so, the Licensor suggests without obligation describing the event as an indoor “stall holder” and setting public liability at £2,000,000 or more. These suggestions are provided solely for convenience.

 

7. END OF LICENCE PERIOD

7.1 Leave the Premises clean, tidy and hygienic.
7.2 Vacate by 7pm unless otherwise agreed.
7.3 Remove all property belonging to the Licensee.
7.4 Return all keys to the lock box.
7.5 Provide final electricity meter readings with photographic evidence.
7.6 Failure to leave the Premises in a clean, tidy and hygienic condition may result in an additional charge of up to £500.

 

8. WARRANTIES

8.1 The Licensor gives no warranty as to the fitness, suitability or condition of the Premises.
8.2 The Licensee occupies the Premises entirely at its own risk.

 

9. LIMITATION OF LIABILITY

9.1 The Licensor’s total liability is capped at 100% of the Licence Fee paid.
9.2 The Licensor shall not be liable for injury or death, damage to property, or loss of profits, business interruption, or consequential losses.
9.3 Nothing limits liability for death or personal injury caused by the Licensor’s negligence.

 

10. TERMINATION

10.1 The Licensor may terminate this Licence immediately if the Licensee fails to pay any amount due, breaches this Licence, breaches the law, engages in unsafe practices, causes nuisance, or uses the Premises unlawfully or inappropriately. No refund will be made of any Licence Fee.
10.2 The Licensor may terminate this Licence at any time for any reason by giving 24 hours’ notice by email. At the sole discretion of the the Licensor a refund may be given for any unused period of the Licence Period.
10.3 Termination does not extinguish any existing rights of action for breach.

 

11. LICENCE NOT A LEASE

11.1 This Licence creates a personal right to occupy the Premises.
11.2 It may not be assigned, transferred, shared, or otherwise disposed of.

 

12. GENERAL

12.1 No third party has rights under the Contracts Rights of Third Parties Act 1999.
12.2 All notices under this Licence shall be served by email.
12.3 This Licence may be varied only in writing.
12.4 This Licence is governed by English law.
